Minutes of TPPC Meeting on Amended By-laws Wednesday, December 2, 3pm
BOD present: Knowlton, Howard, Crane. Absent Dwyer
Members present: Members present (41) who signed in prior to the Call to Order.
President Knowlton called the meeting to order at 3:00pm on Wednesday, December 2 at the Lodge Courts. She stated that all members present should sign in to have a list of members attending the By-laws meeting. She noted that this meeting was called for TPPC members to vote on the Amended and Restated TPPC By-laws.
Knowlton introduced the TPPC officers. She stated the major change to the By-laws was in the Administration section. The presented By-laws propose an increase to the club officials from 4 elected officers to 7 Board of Director members who will have staggered 3-year terms. Club Officers President, Vice President, Secretary and Treasurer will be chosen from the 7 Directors, by the 7 Directors. The membership will no longer vote for Officers.
Knowlton stated if the vote is affirmative, in March 2021 the Nomination Committee will be seeking members to fill 7 Board of Director positions. 2 - 1-year term Directors, 2- 2-year term Directors and 3 3 -year term Directors.
Howard moved, seconded by Crane, that the Amended and Restated TPPC By-laws be approved as presented.
--Freed introduced an amendment to Section 8a under Quorum. He moved, seconded
by Myers, to change wording to the following: “At the Annual Members’ Meeting a minimum of forty (40) members of the Club in person shall constitute a quorum.” The amendment passed unanimously. The By-laws passed unanimously with the inclusion of the amendment.
Knowlton reported on the following:
--The Lucy Kitcher Clinic to be held on January 25, 26 at the new Courts – Cost for each session (intermediate and advanced) is $30. She stated that Kitcher would be here for two days. The Pavilion is reserved for an evening event on Jan 25.
--PARC Update – Contractor Welch would be on-site for four (4) weeks in December to complete the Court 8-layer surface. A delay in court opening is also possible.
--Court opening ceremony – With a limit of 50 persons at the Court opening, there would be a ribbon-cutting ceremony, followed by a possible all-day open house with demonstrations by original Club members and game play. Planning will continue.
